Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between GetSurveyReady, LLC ("GetSurveyReady," "we," "our," or "us") and the organization or individual ("Customer," "you," or "your") accessing or using the GetSurveyReady platform and related services (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

GetSurveyReady is a cloud-based compliance and staff education platform designed for accredited sleep medicine facilities. The Service includes staff orientation management, monthly education modules, drill tracking, personnel file management, performance evaluations, policy acknowledgments, QAPI documentation tools, and accreditation readiness features for ACHC and AASM standards.

2. Account Registration and Access

2.1 Authorized Users

Access to the Service is limited to employees and authorized contractors of the Customer organization. The Customer is responsible for ensuring that only authorized personnel are granted access and that all users comply with these Terms.

2.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials. You must promptly notify us at hello@getsurveyready.com if you suspect any unauthorized access to your account. GetSurveyReady is not liable for losses resulting from unauthorized account use due to your failure to protect credentials.

2.3 Accurate Information

You agree to provide accurate, current, and complete information when registering and to keep such information updated.

3. Subscription and Payment

3.1 Fees

Access to the Service requires a paid subscription. Fees are set forth in the applicable Order Form or pricing page and are due in advance of each billing period. All fees are non-refundable except as expressly provided herein or required by applicable law.

3.2 Billing

You authorize GetSurveyReady to charge your payment method on file for all fees when due. If payment fails, we may suspend access to the Service until payment is received.

3.3 Price Changes

We may change subscription fees upon at least 30 days' written notice. Continued use of the Service after the effective date of a price change constitutes your acceptance of the new fees.

3.4 Taxes

You are responsible for all applicable taxes, duties, and government charges associated with your use of the Service, excluding taxes on GetSurveyReady's net income.

5.1 Customer Data

You retain all ownership rights in data, content, and information submitted to the Service by you or your users ("Customer Data"). You grant GetSurveyReady a limited license to process Customer Data solely to provide the Service.

5.2 Protected Health Information

To the extent Customer Data includes Protected Health Information (PHI) as defined under HIPAA, the handling of such data is governed by the GetSurveyReady Business Associate Agreement (BAA), which is incorporated into these Terms by reference for Covered Entities.

5.3 Privacy Policy

Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.

5.4 Data Security

GetSurveyReady implements reasonable administrative, technical, and physical safeguards to protect Customer Data. However, no system is completely secure, and we cannot guarantee absolute security.

6. Intellectual Property

6.1 GetSurveyReady IP

GetSurveyReady owns all rights, title, and interest in the Service, including all software, content, trademarks, logos, and documentation. These Terms do not grant you any ownership rights in the Service.

6.2 Feedback

If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant GetSurveyReady a royalty-free, perpetual, irrevocable license to use and incorporate such Feedback without restriction or compensation to you.

7. Confidentiality

Each party may have access to the other's confidential information ("Confidential Information"). Each party agrees to: (a) keep the other's Confidential Information confidential using at least reasonable care; (b) not disclose it to third parties without prior written consent; and (c) use it only to fulfill obligations under these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

8. Availability and Support

GetSurveyReady will use commercially reasonable efforts to maintain Service availability. We may perform scheduled maintenance with advance notice where practicable. We do not guarantee uninterrupted or error-free operation of the Service. Support is provided via email at hello@getsurveyready.com during normal business hours (Monday–Friday, 9 AM–5 PM Central Time).

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, GETSURVEYREADY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. GETSURVEYREADY DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT IT WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

THE SERVICE IS A COMPLIANCE MANAGEMENT TOOL. IT DOES NOT CONSTITUTE LEGAL, MEDICAL, OR REGULATORY ADVICE. CUSTOMER IS SOLELY RESPONSIBLE FOR ENSURING ITS COMPLIANCE WITH APPLICABLE ACCREDITATION STANDARDS AND REGULATIONS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL GETSURVEYREADY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

GETSURVEYREADY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO GETSURVEYREADY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability is limited to the minimum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless GetSurveyReady, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or regulation; or (c) your infringement of any third-party rights.

12. Term and Termination

12.1 Term

These Terms remain in effect as long as you have an active subscription or use the Service.

12.2 Termination by Customer

You may cancel your subscription at any time by contacting hello@getsurveyready.com. Cancellation takes effect at the end of the current billing period. No refunds are issued for unused time except where required by law.

12.3 Termination by GetSurveyReady

We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees when due, or if required by law. We may also terminate the Service generally upon 30 days' notice.

12.4 Effect of Termination

Upon termination, your right to access the Service ceases immediately. We will make Customer Data available for export for 30 days following termination, after which we may delete it. Sections 6, 7, 9, 10, 11, 13, and 14 survive termination.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction. The arbitration will take place in Travis County, Texas. YOU WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION.

14. General Provisions

14.1 Entire Agreement

These Terms, together with the Privacy Policy and any applicable BAA or Order Form, constitute the entire agreement between you and GetSurveyReady and supersede all prior agreements regarding the Service.

14.2 Modifications

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the Service. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.4 Waiver

Failure to enforce any provision of these Terms is not a waiver of the right to enforce it in the future.

14.5 Assignment

You may not assign these Terms or any rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.

14.6 Force Majeure

Neither party is liable for delays or failures in performance caused by events beyond their reasonable control, including natural disasters, acts of government, power failures, or internet disruptions.
